RECITALS

  1. Distributor carries on the business of manufacturing, promotion and distribution of art and craft product to a world market through its distribution network.

  2. The Creator wishes to submit an original art or craft idea to the Distributor for evaluation in the Distributors market and to submit that idea for sale within the Distributors market through the Distributor.

  3. The Creator agrees that the content of this document is to protect the Creator from infringement of intellectual property right should the creator's product not be a commercially feasible product in the Distributors assessment.

PERFORMANCE

  1. The parties agree on submission and disclosure of Creator's product the Distributor will carry out full market assessment of the product.

  2. The parties agree should the market assessment of the product be favorable and product is commercially viable, the Distributor will then negotiate a royalty payment to the Creator prior to the release of product.

  3. The Creator will pass over the intellectual property rights to the Distributor for the product and be paid the agreed royalty for the product for its commercial lifetime.

  4. The Creator submits the product idea on the basis that he/she believes

    5. it to be original and their own idea in the full knowledge that the Creator knows of no other product this product will infringe, nor infringe the intellectual or patent property rights of third parties.

  5. Should an infringement of patent, intellectual, or property rights be found, the Creator and Distributor agree to make null and void this contract and the distributor will not be found to be at risk of cost from the Creator or third parties.

  6. The Creator will accept the Distributors assessment of product evaluation and the distributor will provide the Creator a web page on the Distributors web-site at the Distributors discretion, to take the product free to the market should the product have no commercial viability but is an idea worthy of disbursement to the market.

  7. The distributor agrees not to bring the product to market, or to develop the product should the Creator not enter into agreement for distribution of the product through the Distributors market.

  8. Both parties agree to not give any proprietary information to persons or Corporations with regard the product unless one party gives to the other party written permission.

  9. The signatures of the Creator and the Distributor as well as the Company Seal of EVERYDAY PRODUCTS INTERNATIONAL being affixed to this document will allow the distributor to proceed to evaluation.
